JOB ROLE

This is an excellent opportunity for motivated lawyers to work on high-profile transactions in a fast-paced, international environment.

As a Junior Associate, you will play a key role in advising clients on a broad range of corporate transactions, with a strong focus on Hong Kong initial public offerings (IPOs) and ongoing regulatory compliance. You will work closely with partners and senior associates on complex, cross-border matters involving listed companies, investment banks, and institutional investors.

JOB DESCRIPTION
The duties and responsibilities of the role will include:

• Assisting in the execution of Hong Kong IPOs, including drafting prospectuses, application proofs, and other offering documents
• Supporting due diligence processes, including reviewing corporate documents, contracts, and regulatory filings
• Advising on Hong Kong Listing Rules and Securities and Futures Commission (SFC) regulations
• Preparing and reviewing transaction documentation such as underwriting agreements, subscription agreements, and shareholders’ agreements
• Coordinating with clients, regulators, financial advisors, and other professional parties throughout transaction lifecycles
• Assisting listed clients with post-listing compliance, including disclosures, announcements, and corporate governance matters
• Conducting legal research and providing analytical support on corporate and securities law issues
• Contributing to client communications, presentations, and internal knowledge development

THE SUCCESSFUL CANDIDATE
The successful candidate will have the following skills and competencies:

• Qualified to practice law in Hong Kong
• 1–3 years’ post-qualification experience (PQE) in corporate law
• Prior experience at an international law firm, with exposure to Hong Kong IPOs and capital markets transactions
• Strong understanding of corporate and securities regulatory frameworks in Hong Kong
• Excellent drafting, analytical, and problem-solving skills
• Clear and effective communication skills, with the ability to work collaboratively in a team
• Fluency in written and spoken English and Mandarin Chinese is essential
