The Senior Manager of Trust & Fiduciary Services will oversee the full spectrum of trust administration, corporate directorship, company secretarial services, and family office governance. The role requires expertise in managing trust assets, ensuring legal and regulatory compliance, and leading corporate secretarial functions for both onshore and offshore clients. Additionally, the incumbent will be responsible for developing new business initiatives and supporting family office structures, providing governance and taxation advice.
The Head of Trust & Fiduciary will lead the firm’s trust administration, corporate directorship, company secretarial services, and family office governance. This strategic role involves overseeing trust assets, ensuring legal and regulatory compliance, and managing corporate governance for both onshore and offshore clients. The position requires a proven leader adept at developing business opportunities while maintaining excellence in fiduciary services and client relationships.
Key Responsibilities:
Trust Administration & Corporate Directorship:
- Oversee all aspects of trust administration, ensuring regulatory compliance and effective management of trust assets.
- Lead trustee, board, and annual meetings, ensuring compliance with the legal and regulatory requirements of client entities.
- Maintain accurate and comprehensive administration records for client companies, including filings and legal documentation
- Ensure legal validity of contributions to trusts and corporate entities, managing the operational aspects of trust structures.
Company Secretarial & Corporate Compliance:
- Deliver corporate secretarial and governance services to client entities across onshore and offshore jurisdictions.
- Prepare and manage statutory records, board minutes, and resolutions, ensuring compliance with corporate obligations.
- Collaborate with legal, compliance, and external partners to manage risks across jurisdictions.
Family Office Governance:
- Offer expert guidance on taxation strategies, succession planning, asset protection, and operational structuring tailored to the unique needs of family offices.
- Oversee the design, establishment, and governance of family office structures, ensuring full compliance with applicable legal, tax, and regulatory frameworks.
- Advise clients on optimal family entity structures, including drafting and managing agreements while ensuring adherence to tax and regulatory obligations.
- Develop and implement governance frameworks that align with family goals, driving operational efficiency and long-term sustainability.
Business Development & Strategy:
- Identify opportunities to expand the trust and fiduciary client base, developing innovative services tailored to client needs.
- Build strategic relationships with internal teams and external partners to enhance service offerings and market reach.
Regulatory Compliance & Legal Advisory:
- Monitor and stay updated on evolving regulatory requirements in multiple jurisdictions, ensuring compliance for client portfolios.
- Advise stakeholders on corporate secretarial matters across various jurisdictions.
- Ensure safe custody, maintenance, and control of all legal documents, contracts, and records.
Client Management & Stakeholder Engagement:
- Serve as the primary contact for high-profile clients, ensuring their trust, fiduciary, and family office needs are met.
- Build and maintain strong relationships with internal and external stakeholders, including legal, compliance, tax, and financial professionals.
- Deliver exceptional service to uphold the firm’s reputation for excellence.
Qualifications: - Education: Bachelor’s degree in Law, Finance, Business Administration, or a related field. Master’s degree or professional qualifications (e.g., STEP, ICSA) are preferred.
- Experience: Minimum of 10 years in trust administration, corporate secretarial, or fiduciary services, with substantial experience managing complex client portfolios.
- Proven expertise in family office governance, corporate directorship, and regulatory compliance.
- Strong knowledge of UAE and international regulatory frameworks.
