JOB ROLE

A leading US law firm is seeking a Corporate Associate with 4–7 years of relevant experience to join its established Transactions Practice in Tampa, Florida.

The practice advises a broad client base, including public and private middle-market and upper-middle-market companies, private equity sponsors, portfolio companies and institutional investors, on a range of complex domestic and cross-border corporate transactions.

The successful candidate will join a collaborative, nationally integrated team and gain exposure to sophisticated M&A, private equity and wider corporate matters, with the opportunity to take ownership of significant deal workstreams and work closely with partners, senior associates and clients.


JOB DESCRIPTION
The duties and responsibilities of the role will include:

• Advising on private equity and strategic M&A transactions.
• Drafting, reviewing and negotiating principal and ancillary transaction documentation.
• Managing due diligence processes and coordinating transaction closings.
• Working alongside specialist teams across tax, finance, regulatory, intellectual property and employment.
• Managing substantial aspects of transactions with appropriate partner supervision.
• Communicating directly with clients and developing strong client relationships.
• Managing multiple matters and competing deadlines effectively.

THE SUCCESSFUL CANDIDATE
The successful candidate will have the following skills and competencies:

• 4–7 years of relevant corporate transactional experience.
• Substantive experience advising on private equity and strategic M&A transactions.
• Strong drafting and negotiation skills, particularly in relation to transaction documentation.
• Experience managing due diligence, deal workstreams and transaction closings.
• Excellent academic credentials.
• J.D. from an ABA-accredited law school.
• Active membership in good standing with the Florida Bar.
