What’s the opportunity
Corporate Carbon is a leading multi-sector Australian developer that makes carbon bankable by designing carbon farming projects that generate and commercialize Australian Carbon Credit Units (ACCUs) while delivering environmental and socio-economic benefits.
As General Counsel, you will have a unique opportunity to build and lead the legal function from the ground up within a commercially focused, purpose-driven “for purpose, for profit” organisation. You will provide strategic, real-time advice to leadership while reducing reliance on external counsel, ensuring legal support is embedded in both commercial decision-making and the organisation’s broader social impact objectives. You will also strengthen corporate governance through effective Board support, ASIC compliance, entity management, and oversight of delegations, conflicts of interest, and regulatory obligations.
What you’ll do
- Establish the In-House Function: Bring legal operations in-house to reduce reliance on external law firms, establish internal service standards, and build group-wide legal frameworks.
- Provide Executive Advisory: Deliver direct, straightforward, and "live" counsel to the CEO and the Board on corporate governance, shifting ownership dynamics, and regulatory developments.
- Build an AI-First Legal Function: In conjunction with the Technical team, lead the design of a modern, AI-enabled legal operation, helping to select and embed tools to automate routine work, sharpen advice, and let a lean team punch well above its weight.
- Lead Complex Transactions: Oversee legal negotiations, due diligence, and drafting for joint ventures, land agreements, commercial contracts, and potential future mergers and acquisitions.
- Drive Governance & Compliance: Manage company secretary duties and corporate governance frameworks, ensuring strict compliance with ASIC, AFSL obligations, and the Corporations Act.
- External Provider Management: Manage relationships with external law firms, the role overseas all legal expenditure across entities.
- Manage and Mentor: Build the internal legal team, while leading and coaching the current Legal Counsel.
- Handle Hands-On Administration: Navigate a lean administrative environment.
What you’ll bring to the role We are looking for a resilient leader who balances risk with probability, embraces non-sequential workloads, and is ready to challenge the status quo. The successful candidate will be an advocate for innovation and technology, including the strategic adoption of AI, leveraging its full potential to enhance decision-making, efficiency, and business outcomes.
- Legal Expertise: 10+ years of post-admission experience as an admitted Australian legal practitioner holding a current practicing certificate. We are seeking a seasoned General Counsel, and also welcome applications from an exceptional Deputy or Associate General Counsel ready to step into the top role.
- Commercial Acumen: Proven ability to manage a vast array of agreements, ranging from small regional property access arrangements to sophisticated multi-million dollar commercial contracts.
- Governance Expertise: Proven experience serving as a Company Secretary or working closely alongside a corporate governance function to effectively support board operations and compliance.
- Sector Knowledge: Strong familiarity or direct experience within financial services, carbon markets, environmental law, or the agribusiness sector is highly desirable.
- Resilience & Communication: A collaborative yet direct communication style, with influence and credibility to address challenges.
