Legal Counsel / Company Secretary

We are seeking an experienced Legal Counsel / Company Secretary to join our team at the Archdiocesan Services in the St Stephen’s Cathedral Precinct. This role offers a unique opportunity to contribute to Centacare’s mission, combining legal expertise with strong governance and company secretarial leadership.
About Us Centacare, an agency of the Catholic Archdiocese of Brisbane, supports individuals and communities through diverse services, including aged care, disability support, family services, and pastoral care. Key Responsibilities
- Company Secretarial Leadership:
- Oversee Centacare Council governance processes and ensure compliance with legislative and regulatory requirements.
- Prepare, distribute, and manage Council and Committee agendas, meeting papers, and minutes to support efficient decision-making.
- Advise the Council on governance best practices, legal implications, and compliance obligations.
- Maintain up-to-date records, including conflicts registers, policy documents, and governance manuals.
- Ensure Council members meet mandatory training requirements and track compliance.
- Support recruitment, induction, and ongoing development of Council members.
- Manage correspondence with internal and external governance bodies and stakeholders.
- Oversee documentation processes to ensure alignment with Centacare and Archdiocesan requirements.
- Legal Expertise:
- Provide timely, accurate, and comprehensive legal advice on complex matters, including commercial, employment, and compliance issues.
- Draft, review, and amend legal contracts and agreements to safeguard Centacare's interests.
- Monitor legislative changes and assess their impact on Centacare's operations.
- Identify and mitigate potential legal risks to protect the organisation's reputation and resources.
- Support the Archdiocese’s responses to regulatory schemes, such as the National Redress Scheme.
- Coordinate and manage external legal counsel for specific projects or litigation as needed.
- Stakeholder Collaboration:
- Build strong relationships with Council members, senior leaders, and key stakeholders across the organisation.
- Partner with internal teams to align governance practices with operational goals.
- Ensure clear communication and alignment across Centacare's leadership and governance structures.
About You You are a qualified legal professional with a proven track record in governance and company secretarial roles. Your meticulous attention to detail, exceptional communication skills, and commitment to Centacare’s mission set you apart.
Key Qualifications - Bachelor of Laws (LLB) and unrestricted Queensland practising certificate.
- At least 5 years' post-admission legal experience; 3+ years in company secretarial roles.
- Strong understanding of governance, compliance, and regulatory requirements.
