Are you a governance professional who thrives on precision, collaboration, and making a meaningful impact at Board level? We're looking for a Board Governance Manager to join our Company Secretariat team. In this role, you'll play a key part in supporting Equity Trustees' Boards and Committees, providing high-quality company secretarial services, governance advice, and ensuring regulatory obligations are met across the Group.
Working closely with the Company Secretary, you'll help drive effective governance practices, support Board and Committee operations, and contribute to the continued success of one of Australia's leading trustee companies.
What you'll do:
- Act as Company Secretary for designated subsidiary Boards and Committees, ensuring governance processes, statutory records, and meeting outcomes are effectively managed
- Coordinate and administer the end-to-end Board and Committee cycle, including agendas, papers, minutes, resolutions, and action tracking
- Maintain corporate records, statutory registers, governance frameworks, and entity information across the Group while meeting ASIC, APRA, ACNC and ASX obligations
- Manage and maintain the Board portal (Diligent) and governance intranet resources, ensuring information remains current, secure and accessible
- Provide governance, procedural and regulatory guidance to Directors, Chairs, senior leaders and stakeholders across the organisation
- Support governance projects, annual Board activities, Director appointments, attestations, governance reviews and reporting requirements
- Monitor governance actions, resolutions and decisions to ensure timely completion and compliance with regulatory and organisational requirements
- Identify opportunities to improve governance processes, documentation and ways of working within the Company Secretariat function
What you'll need to succeed: - Experience in a company secretarial, governance, legal, regulatory or related role, ideally within financial services or a regulated environment
- Strong understanding of corporate governance principles and Board administration practices Experience supporting Boards, Committees, senior executives and key stakeholders, with a highly professional and confidential approach
- Exceptional written communication skills with demonstrated experience preparing agendas, minutes, governance papers and Board documentation
- Excellent organisational and time management skills, with the ability to manage multiple competing priorities and regulatory deadlines
- Strong attention to detail, problem-solving capability and commitment to delivering high-quality outcomes
- Experience using Diligent or similar Board management systems will be highly regarded
- Advanced Microsoft Office skills and the ability to work both independently and collaboratively within a team environment
