Group Company Secretary & Head of Governance

A highly respected and long-established corporate group is seeking an experienced Group Company Secretary & Head of Governance to play a pivotal leadership role supporting the Board of Directors, CEO and executive leadership team.
This is a senior position responsible for ensuring strong corporate governance, regulatory compliance, legal oversight and board administration across a large and complex organisation. The successful candidate will act as a trusted advisor to the Board and executive team while ensuring the company maintains the highest standards of corporate integrity and compliance.
The role offers the opportunity to work closely with senior leadership and contribute to the strategic direction and governance of a well-established business with a strong corporate reputation.
Key Responsibilities - Coordinate and manage Board and Committee meetings, including preparation of agendas, board papers, minutes and action tracking.
- Provide corporate governance advice to the Board, CEO and senior leadership team.
- Ensure the organisation maintains compliance with all statutory, regulatory and reporting obligations.
- Manage relationships with relevant regulatory authorities and ensure all required filings and documentation are maintained.
- Oversee corporate records, share registers and regulatory documentation.
- Support the Audit & Risk Committee, including coordination with external auditors and ensuring compliance with audit requirements.
- Provide oversight of corporate legal matters, contracts and commercial agreements.
- Work closely with the finance function to ensure compliance with financial reporting and statutory obligations.
- Oversee governance frameworks, policies and compliance programs across the organisation.
- Support executive leadership with corporate governance, regulatory and legal matters as required.
The role involves close collaboration with the CEO, CFO and Board of Directors, requiring a highly professional individual with strong stakeholder management skills and the ability to operate at a senior leadership level.
Candidate Profile We are seeking a highly credible and commercially astute professional with experience operating in a senior governance, legal or compliance capacity within a large corporate environment.
Ideal candidates will bring:
- A Legal qualification (LLB or equivalent).
- Strong experience in corporate governance, regulatory compliance and board administration.
- A strong understanding of financial reporting, audit processes and corporate compliance obligations.
- Experience working closely with Boards of Directors and executive leadership teams.
- Excellent stakeholder engagement and communication skills.
- High levels of integrity, professionalism and attention to detail.
- The ability to operate independently and manage complex governance matters.
- Additional qualifications such as CA, CPA or postgraduate qualifications in business, governance or law will be highly regarded.
