Are you a legal expert ready to make an impact?
We are seeking an experienced Legal Counsel to join our dynamic global legal team, supporting our operations across Germany and Europe. With your expertise in commercial law, corporate transactions, and compliance, you'll be instrumental in protecting and advancing our business interests, ensuring we maintain the highest standards of legal and ethical conduct.
Key Responsibilities
- Draft, review, and negotiate complex commercial contracts to protect and advance ALS’ interests.
- Provide legal support for corporate transactions, mergers and acquisitions projects, including conducting due diligence where required.
- Advise on corporate governance matters, entity management, corporate resolutions, and compliance with German regulatory frameworks.
- Offer general counsel on litigation, dispute resolution, commercial property matters, and regulatory compliance issues.
- Support operational teams with legal guidance on responding to subpoenas, declarations, and internal compliance issues.
- Act as a key contact during contract negotiations and ensure compliance with ALS policies and legal frameworks.
- Work collaboratively with stakeholders to develop negotiation strategies that minimize risks and enhance business performance.
The Essentials - Fluency in English and German
- Qualified lawyer, admitted to practice, with at least 5 years of post-qualification experience, preferably in-house or within contract-intensive corporate environments.
- Strong knowledge of German commercial law and European regulatory compliance.
- Strong expertise in Contract Law and Commercial Transactions with proven experience drafting and negotiating complex contracts.
- Experience in M&A transactions and related legal support, including due diligence.
- Experience with corporate governance, including drafting corporate resolutions and familiarity with German corporate registry requirements.
- Skilled in dispute resolution and providing comprehensive legal advice on complex contractual matters.
- Familiarity with privacy and data protection laws.
- Highly organized, self-motivated, and disciplined with the ability to operate autonomously.
- Excellent analytical and problem-solving skills with the ability to provide practical legal solutions.
- Excellent negotiation and communication skills, with the ability to convey complex legal information clearly.
- Ability to manage multiple projects simultaneously and meet deadlines.
- Experience working in a team environment and collaborating with various departments.
- A high level of professional integrity and discretion.
Desirable - Experience with international law and cross-border transactions will be a plus.
- Knowledge and experience working within any of the TIC, Food, Pharmaceutical, Environmental & Minerals sectors will be a plus.
- Experience with intellectual property and trademarking matters will be a plus.
- Technological Proficiency: Familiarity with legal technology tools and software for contract management, compliance, and research.
