With a new CEO appointed and a fresh strategic plan about to commence development, this organisation is entering a defining chapter. As part of this new chapter and new strategic direction, we are seeking three new Independent Non-Executive Directors to help shape the organisation's future direction and amplify its impact in the community. As a Board member, you will not only support the ongoing development of critical community services and commercial enterprises but also serve as the custodian of one of Australia's most important cultural events. Home of the Barunga Festival
You will lead the organisation responsible for delivering the Barunga Festival, a nationally recognised event with a rich history dating back to 1985. Famous as the site where the historic "Barunga Statement" was presented to Prime Minister Bob Hawke in 1988, the festival attracts thousands of visitors annually. It is a massive logistical and cultural undertaking that celebrates music, sport and culture, placing the community—and these Director roles—in the national spotlight.
A Diverse Portfolio
Beyond the festival, the Corporation manages a broad range of assets and programs:
- Commercial Enterprises: Oversight of the Remote Laundry and Bagala Store.
- Community Programs: Community Court and Men's Wellness initiatives.
- Property Management: A portfolio of commercial and residential assets.
About the Role: To provide independent oversight, strategic guidance and specialised expertise to the Bagala Aboriginal Corporation Board, ensuring high standards of corporate governance and the fulfillment of the Corporation's objectives.
Key responsibilities include: Governance and Oversight: Provide governance oversight of the organisation ensuring the organisation operates in accordance with it's constitution, governing rules and is compliant with relevant legislation
Strategic Leadership: Contribute to the development and ongoing oversight of the organisation's strategic plan including monitoring progress against strategic priorities
Financial Governance: Ensure the organisation is financially sustainable, budgets are reviewed and approved and overall financial performance is monitored appropriately
Risk Management: Identify and oversee organisational risks and ensure appropriate risk management systems are in place
CEO Oversight and Support: Oversee (and when required appoint or remove) the CEO including the provision of support and guidance as well monitoring of performance, accountability and reporting
About You We are seeking three Independent Non-Executive Directors who bring strategic insight, governance acumen and a shared passion for supporting remote Aboriginal communities. You will have a sound understanding of Directors' legal, ethical, fiduciary, and financial responsibilities. You will be able to think strategically and have the ability to contribute meaningfully to the development of a new organisational strategy. You will be financially literate and confident in assessing business performance and sustainability. Importantly, you will possess the cultural sensitivity to support the Jawoyn clan group and the Barunga Festival and be able to distinguish the professional "Independent" role from the "Traditional Owner" leadership roles.
Essential Criteria: Specialised Expertise: Demonstrated high-level experience in Law, Finance, or Business Management.
Governance Knowledge: A deep understanding of director duties, preferably within the CATSI Act framework or similar regulated environments.
Integrity: A clean professional record; must not be disqualified from managing corporations under Part 6-5 of the CATSI Act. Undischarged bankruptcy or dishonesty convictions as per the BSAC requirements will result in automatic disqualification.
Technology-Enabled Leadership: Demonstrated ability to contribute effectively to board-level discussions via video-conferencing platforms.
Remote Collaboration: Proven track record of maintaining high levels of engagement and fiduciary oversight while serving on a remote or hybrid board.
Financial Knowledge: For the Finance, Audit, and Risk Committee, proven ability to assess commercial business sustainability for both the parent organisation and the community store.
Desirable Background and Knowledge - ACCO, local government or social services experience.
- Previous board or senior governance experience in NFP or regulated environments.
- Experience in Event Management or overseeing large-scale community projects.
- Knowledge of the CATSI Act 2006 and National Principles for Child Safe Organisations.
- Experience living or working in remote Indigenous communities.
Qualifications - Tertiary qualifications in business, law, accounting or a related field.
- Completion of the AICD Company Directors Course (or equivalent) is highly regarded.
- AICD membership (or willingness to obtain).
Mandatory Requirements: - Ochre Card: Working with Children Clearance.
- Police Check: National Criminal History Check (no more than 3 months old).
Remuneration: This is a sitting fee remunerated Non-Executive Director position. Payment is provided for preparation and attendance at Board meetings (six annually) and relevant subcommittees at the rate of $450 for a full-day meeting, $300 for half-day, and $175 for meetings under 2 hours.
Term: 2-year appointment with eligibility for reappointment.
